GENERAL TERMS AND CONDITIONS

www.ExpoTV.com and all affiliated sub-domains (the "Site") is provided by Expo Communications, Inc. ("Expo") to you subject to the following Terms and Conditions of Use and any operating rules or policies that may be published from time to time by Expo. By accessing the Site, you accept without limitation or qualification, all of the terms and conditions in this user agreement.

General Purpose

The Site is to be used for general research, informational, and entertainment purposes only. The Site publishes videos, reviews, comments, articles or other content submitted by our users. The information represents the opinions and perspectives of the submitting users, not of Expo. Our publication of content is not our endorsement of any user submission or any opinion, recommendation, or advice expressed therein. You should assume we have not independently verified the truth, accuracy, ownership, or integrity of any content submitted by our users.

Changes to the Terms and Conditions

Expo may, in its sole discretion, change, add or remove any portion of the Terms and Conditions at any time by posting new Terms and Conditions on the Site without notice to you. By using the Site, you agree in advance to accept any changes.

Modifications to the Site

Expo reserves the right, for any reason, in its sole discretion, to terminate, suspend or change any aspect of the Site including but not limited to content, features or hours of availability without notice to you. Expo may impose limits on certain features of the Site or restrict your access to part or all of the Site without notice or penalty.

User Conduct and Community Guidelines

You are solely responsible for the content and context of any materials you post or submit through the Site. You warrant and agree that while using the Site, you shall not upload, post, transmit, distribute or otherwise publish through the Site any materials or act in ways which, in Expo's sole discretion: (a) are unlawful, threatening, harassing or profane; (b) are obscene, threatening, defamatory, invasive of privacy, infringing intellectual property rights or otherwise injurious to third parties or objectionable; (c) restrict or inhibit any other user from using or enjoying the Site; (d) constitute or encourage conduct that would constitute a criminal offense or give rise to civil liability; (e) contain a software virus or other harmful component, advertising or commercial solicitation of any kind, mass mailing or any form of 'spam', political campaigning or false of misleading indications of origin or statements of fact; or (f) are otherwise harmful to the community. Intellectual Property

All right, title and interest in and to the materials on the Site is owned by Expo or owned by product vendors and used with their permission. Expo TV®, Expo®, Expo Communications℠, Expo On Demand®, Expo Shopping®, Expo TV Shopping®, Videopinions℠, are some of the well-known trademarks or service marks of Expo, as are other distinctive marks used by Expo. Expo's trade and services marks may be used publicly only with the permission of Expo. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any materials on the Site, including but not limited to the copyrights and trademarks displayed on the Site without the written permission of Expo or such third party that may own such materials displayed on the Site. Your misuse of the materials displayed on the Site, or any other content on the Site, except as provided in these Terms and Conditions, is strictly prohibited.

Expo may, in appropriate circumstances and at its discretion, terminate the access of users, subscribers, and account holders who have been accused of infringing the copyrights of others. If you believe that your work has been copied and is accessible on the Site in a way that constitutes copyright infringement, you may notify Expo. Membership Accounts

Upon creating a Membership account through the Site, you agree to provide Expo with a current email address and to update such information immediately upon any changes. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any content. You will also need to create a password and will receive an account designation upon completing the Site's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Expo of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Expo cannot and will not be liable for any loss or damage arising from your failure to comply with these Terms and Conditions of Use. Expo may terminate a Membership account for any reason in Expo's sole discretion. Members may maintain only one account each; duplicate accounts may be subject to cancellation in Expo's sole discretion.

Your privacy is very important to Expo. Users of this Site should refer to our Privacy Policy for information about how Expo collects and uses personal information. By accepting this Agreement you expressly consent to Expo's disclosure and use of your personal information (including to the use of your email account or address to communicate with you) as described in the Privacy Policy, which is incorporated herein by reference.

User submitted content

Expo reserves the right to reject any postings and submissions to the Site and/or to remove postings and submissions to the Site for any reason in Expo's sole discretion. Notwithstanding this right, you acknowledge that Expo does not control the information submitted by its users, and that any opinions, advice, statements, services, offers or other information submitted by users are those of their respective authors who are solely liable for their content. Expo takes no responsibility and assumes no liability for any content posted by you or any user. Although Expo may from time to time monitor or review user submitted content, you knowledge that Expo is under no obligation to do so. Expo is not responsible in any way for your use of content posted by its users.

If you choose to post or submit content to the Site, and unless we indicate otherwise, you grant Expo a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media without any compensation to you. You grant Expo the right to use your personal information as described in the Privacy Policy. You represent and warrant that you own or otherwise control all of the rights to the content that you post and submit, that the content is accurate, that you are not employed by the manufacturer or its competitor of the product featured in the content you submit; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Expo for all claims resulting from content you supply.

Embeddable Player/"Widget"

Expo permits you to choose to link to materials on the Site for personal, non-commercial purposes only as long as such link is to the Site does not include a 'frame' or other content not provided by Expo. In addition, Expo may provide an embedding code for its video player ("Expo Video Player") which you may incorporate into your own personal, non-commercial websites for use in accessing the materials on the Site, provided that you include a prominent link back to the Expo website on the pages containing the Expo Video Player. In addition, Expo may provide an embedding code for other services ("Expo Widget") which you may choose to incorporate into your own personal, non-commercial websites for use in accessing the materials provided by Expo. Either the Expo Video Player or the Expo Widget may contain third party content (see Third-Party Sites, Products and Services below). No commercial use or redistribution of any content on the Site is permitted. Expo reserves the right to preclude you from linking to the Site and embedding the Expo Video Player or Expo Widget on your website for any reason in Expo's sole discretion. Upon receiving a notice from Expo requesting that you to remove the Expo Video Player or Expo Widget from your website, you agree to immediately remove the Expo Video Player from your website. By choosing to use the Expo Video Player or Expo Widget you accept without limitation or qualification, all of the terms and conditions in this user agreement.

Third-Party Sites, Products and Services

Please keep in mind that some of the content that we make available to you through this application comes from third party services. Expo does not warrant that product descriptions or other content of this Site, regardless of its source, is accurate, complete, reliable, current, or error-free. All such content is provided to you "as is." This content and your use of it are subject to change and/or removal at any time.

The Site may provide links to other web sites including to paid advertisers. Any links to third parties do not imply any endorsement of such websites, or the content, products, or services available from such websites. Expo has not reviewed the third-party content that may be linked from the Site and is not responsible for such content. Expo does not assume any responsibility or liability for the actions, product, and content of any other third party. Expo may provide links to third party merchants that are selling listed products and may be paid by third parties for such links. The products listed on the Site are sold by third party merchants, and are not sold by Expo. You agree that Expo will not be responsible or liable for any loss or damage of any sort incurred as the result of any of your transactions with these third parties. Any questions, complaints or claims related to any product or service should be directed to the appropriate product vendor. Assumption of Risk

User assumes any and all risk of damage, injury, or death from the use of the Site and Service. You have been warned of the limitations and risks in the use of the information on the Site, and choose of your own free will to continue to access or use the Site.

THE SITE, INCLUDING ALL CONTENT, FUNCTIONS, AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE SITE, IS PROVIDED ON AN "AS IS" "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. EXPO DOES NOT WARRANT THAT (A) THE SITE OR THE FUNCTIONS, FEATURES OR CONTENT CONTAINED THEREIN WILL BE TIMELY, SECURE, UNINTERRUPTED OR ERROR FREE, (B) THAT DEFECTS WILL BE CORRECTED; OR (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL THAT YOU WERE EXPOSED TO THROUGH EXPO. LIMITATION OF LIABILITY

IN NO EVENT SHALL EXPO BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO THE USE OF, OR INABILITY TO USE, THE SITE OR THE CONTENT, MATERIALS AND FUNCTIONS RELATED THERETO EVEN IF EXPO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO CERTAIN USERS. IN NO EVENT SHALL THE TOTAL LIABILITY OF EXPO TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING BUT NOT LIMITED TO NEGLIGENCE) ARISING FROM THIS AGREEMENT OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00) IN THE AGGREGATE.

Indemnification

You agree to defend, indemnify and hold Expo and its officers, directors, employees, agents, licensees, successors and assigns harmless from and against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) incurred or suffered by them in connection with any claim arising out of or related to (i) your use of the Site, (ii) your breach or violation of any of these Terms and Conditions, or (iii) your dispute with another user. Expo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle or otherwise dispose of any matter without the prior written consent of Expo.

Termination

You agree that Expo, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Site, and remove and discard any content you may have contributed to the Site, at any time for any reason or no reason. Expo may also in its sole discretion and at any time discontinue providing the Site, or any part thereof, with or without notice. You agree that any termination of your access to the Site under any provision of these Terms and Conditions of Use may be effected without prior notice, and acknowledge and agree that Expo may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files of the Site. Further, you agree that Expo shall not be liable to you or any third-party for any termination of your access to the Site. Should you object to any terms or conditions or become dissatisfied with the Site in any way, your only recourse is to immediately discontinue your use of the Site and/or terminate your account.

Choice of Law; Forum

This agreement shall be governed by and in accordance with the laws of the State of New York, without regard to conflicts of law provisions. Any controversy involving Expo arising from or in any way related to the Terms and Conditions of Use or your use of the Site shall be heard in the appropriate State or Federal court in New York County, New York and you irrevocably consent to the jurisdiction of such courts.

Notices

Except as explicitly stated otherwise, any notices shall be given by email to Expo at contactus@expotv.com or to you at the email address you provide to Expo. Notice shall be deemed given 24 hours after the email is sent, unless the sending party is notified that the email address is invalid.

General Provisions

Expo makes no representations that the content and materials on the Site are appropriate, available or legal in any location outside of the United States. Those who choose to access the Site from outside of the United States do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. If any provision of the Terms and Conditions is held to be invalid or unenforceable by a court of competent jurisdiction, then such provision shall be enforced to the maximum extent possible so as to effect the intent of the Terms and Conditions, and the remainder of the Terms and Conditions shall continue in full force and effect. The failure by either you or Expo to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. You agree that any cause of action arising out of or related to the Site or the Terms and Conditions must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. This agreement comprises the entire agreement between you and Expo and supersedes all prior agreements between the parties, regarding the subject matter contained herein. All provisions in the Terms and Conditions regarding representations and warranties, indemnification, disclaimers, and limitation of liability shall survive the termination of the Terms and Conditions.
